• INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES.
• LOSS OF PROFITS, REVENUES, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES.
• DAMAGES RESULTING FROM YOUR ACCESS TO OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR OUR SERVICES.
• DAMAGES RESULTING FROM ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA.

IN NO EVENT SHALL PIZZANA'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE USE OF THE SITE EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO PIZZANA IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

THE LIMITATIONS OF LIABILITY SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE AGREEMENT BETWEEN PIZZANA AND YOU. SOME STATES DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU IN ITS ENTIRETY.

13. Dispute Resolution

13.1 Informal Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms, or your use of the Site or our services, you agree to first attempt to resolve the matter informally by contacting Pizzana at [email protected]. We will make good-faith efforts to address and resolve your concern within thirty (30) days of receiving your written notice. Both parties agree to engage in good-faith negotiations during this informal resolution period.

13.2 Binding Arbitration

If the dispute cannot be resolved informally within thirty (30) days, both parties agree to submit the dispute to binding arbitration in accordance with the Commercial Arbitration Rules of the American Arbitration Association (AAA) then in effect. The arbitration shall take place in the United States, in a location agreed upon by both parties or determined by the arbitrator. The decision of the arbitrator shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

The arbitrator shall have authority to award any remedy or relief that a court of competent jurisdiction could award, including injunctive relief, but shall not have the authority to award punitive damages except as expressly permitted by applicable statute.

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights, confidential information, or other proprietary rights. Such an application shall not constitute a waiver of the right to arbitrate all other disputes.

14. Term and Termination

In the event of a Force Majeure Event, Pizzana will make reasonable efforts to notify affected customers and resume normal operations as soon as reasonably practicable.
